Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Sol Foundry, Inc. (“Sol Foundry,” “we,” “us,” or “our”) governing your access to and use of the Sol platform, including the website at hellosol.app and solfoundry.app, and all related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Sol is a productivity and task management platform that uses AI to help users manage callouts (tasks), loops (recurring items), topics, and integrations with third-party services such as Gmail and Slack.

The Service may include features powered by artificial intelligence and large language models (LLMs). AI-generated content is provided as-is and may not always be accurate or complete. You should not rely on AI-generated outputs for critical decisions without independent verification.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

We reserve the right to investigate suspected violations of these Terms and may suspend access to the Service where necessary to protect the security, integrity, or availability of the Service or other users. We may also cooperate with law enforcement authorities in investigating suspected criminal violations.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, functionality, code, and documentation, is owned by Sol Foundry and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it as described herein.

6.2 Your Data

You retain ownership of all data and content you create, upload, or input into the Service (“Your Data”). By using the Service, you grant Sol Foundry a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service.

We will not access, use, or share Your Data for any purpose other than providing the Service, except as required by law or as described in our Privacy Policy.

6.3 IP Non-Infringement

Sol Foundry represents that, to the best of its knowledge, the Service does not infringe any third-party intellectual property rights. If you believe any aspect of the Service infringes your intellectual property, please contact us at the email below and we will investigate promptly.

7. Third-Party Integrations

The Service may allow you to connect third-party services (e.g., Gmail, Slack). Your use of third-party services is governed by their respective terms of service and privacy policies. Sol Foundry is not responsible for the availability, accuracy, or practices of third-party services.

Sol Foundry disclaims all liability for any data loss, service disruption, or other issues arising from the unavailability or malfunction of third-party integrations, including but not limited to outages of Gmail, Google Calendar, Slack, or any integration middleware.

You may disconnect third-party integrations at any time through the Service.

8. AI-Powered Features

Certain features of the Service use artificial intelligence and large language models to process your data and generate suggestions, summaries, or other outputs. You acknowledge that:

The Service is currently available free of charge. Sol Foundry reserves the right to introduce paid plans in the future with reasonable advance notice.

Sol Foundry may change its pricing from time to time. Price changes will be communicated at least 30 days in advance and will take effect at the start of the next billing cycle.

We strive to maintain high availability of the Service. Our target uptime is 99.9% monthly availability, as described in our Service Level Agreement (available upon request for applicable plans). The Service may be temporarily unavailable due to:

While we implement industry-standard backup and recovery procedures, Sol Foundry is not liable for data loss resulting from:

12. Account Termination

12.1 By You

You may delete your account at any time through the Service or by contacting us at contact@solfoundry.co. Upon account deletion, all your data will be permanently deleted within 7 days in accordance with our Privacy Policy. If you are on a paid plan, no refund will be issued for the remaining portion of your billing period.

We may suspend or terminate your account if:

We will provide at least 30 days’ notice via email before termination for inactivity, giving you the opportunity to log in and retain your account. For violations or security risks, we may suspend immediately and provide notice as soon as practicable.

13. Limitation of Liability

In plain language: We provide the Service without guarantees about uninterrupted availability or fitness for your specific use case. Our financial liability is capped as described below.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless Sol Foundry, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Service is also governed by our Privacy Policy. The Privacy Policy describes how we collect, use, store, and protect your personal information.

We may update these Terms from time to time. When we make material changes, we will:

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Sol Foundry.

If the class action waiver in this section is found to be unenforceable, then the entirety of this arbitration agreement (Sections 17.2 and 17.3) shall be null and void, and disputes shall be resolved in the courts specified in Section 17.1.

17.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

17.5 Informal Resolution First

Before initiating arbitration, you agree to first attempt to resolve the dispute informally by contacting us at contact@solfoundry.co. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within 30 days, either party may proceed to arbitration.

17.6 EU/EEA/UK Users

If you are a consumer located in the European Union, European Economic Area, or United Kingdom, the mandatory arbitration and class action waiver provisions in Sections 17.2 and 17.3 do not apply to you. Disputes will be resolved in accordance with the applicable consumer protection laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer under applicable local law, including your right to bring proceedings in your local courts.

These Terms and associated user accounts may be assigned or transferred as part of a merger, acquisition, restructuring, or sale of assets. In such an event, we will notify affected users before their accounts become subject to different terms.

20. Export Controls and Sanctions

The Service is provided from the United States. You agree not to access or use the Service in violation of any United States export control laws, trade sanctions, or other restrictions. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted party list.
